How you may use material on our Site

·     you do not damage or take advantage of our reputation, including in a manner that is illegal, unfair, misleading or deceptive; and

If you use, print off, copy, download, share or repost any part of our Site in breach of these Terms of Use, or otherwise engage in conduct that may harm our business or other users, your right to use our Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made (except that you are permitted to print off a copy of these Terms of Use).

Shade Matching
We have a shade matching feature on our Site which is powered by a third party, ‘Match My Makeup’ (Match My Makeup), and which allows you to seek recommendations for makeup products that complement your skin tone and features. Your use of Match My Makeup may be subject to additional terms and conditions of the Match My Makeup provider.

Match My Makeup works by utilising your answers to a number of questions relating to your existing foundation shade and skin tone and uses scientific colour analysis to find your match.

Whilst Match My Makeup is intended to be as accurate as possible, any recommendations made by Match My Makeup are for guidance only and may not be perfect matches in all lighting conditions or for all skin types. We do not guarantee that recommended products from Match My Makeup will be suitable for your skin type or free from allergens.

Acceptable Use of our Site

Prohibited Behaviours

When using the Site, you must not do or attempt to do anything that is unlawful, fraudulent or inappropriate, including (but not limited to):

·     anything that would constitute a breach of an individual’s privacy (including uploading private or personal data without an individual's consent) or any other legal rights;

·     using the Site to defame, bully, insult, harass, threaten, menace, offend or impersonate any person;

·     interfering with any user of the Site;

·     tampering with, interfering with or modifying the Site and its functioning;

·     using the Site to send, or procure the sending of, unsolicited or unauthorised messages, advertising or promotional material or any other form of similar solicitation (spam);

·     sending, knowingly receiving, uploading, downloading, sharing, posting, using or re-using any material which does not comply with our Content Standards (as set out below);

·     facilitating or assisting a third party to do any of the above acts or any other actions prohibited by these Terms of Use.

Content Standards

User Content means any information or material you submit to or through the Site, including reviews, uploads, social media posts using our tags, or other user-generated content.

User Content must:

·     be accurate (where it states facts) and honest;

·     only contain opinions that are genuinely held; and

·     comply with the applicable law in any country from which it is posted and to which the Site is targeted.

User Content must not:

·     be defamatory of any person;

·     be obscene, offensive, hateful or inflammatory;

·     contain illegal content or promote any illegal content or activity;

·     infringe any copyright, database right or trademark of any other person;

·     be likely to deceive any person.

Uploading content to our Site

We encourage you to interact with the Site and with us on social media! You may be permitted to post, upload, publish, submit or transmit User Content on the Site. We may run campaigns via the Site and via social media that encourage you to post User Content on social media using specific hashtags (#)

Whenever you make use of a feature that allows you to create User Content directly on our Site, upload or share User Content to our Site, or to make contact with other users of our Site, you must comply with the ‘Acceptable Use of our Site’ standards set out above in these Terms of Use.

You confirm that any such contribution complies with those standards, and you are responsible to us and agree to indemnify us for any breach of that confirmation. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty, as permissible under applicable laws.

We will consider any content you upload to our Site to be non-confidential and not protected by any trademark, patent or copyright ("non-proprietary"), that is, in the public domain. The rights you license to us when supplying User Content are described below (see ‘Rights you are giving us to use material you upload’).

Reviews

We welcome and encourage customers to leave reviews of our products. However:

·  your review must be based on your personal experience with the product;

·  your review must not name any of our competitors;

·  you may not post a review if you have any personal or business relationship with us that might influence your review; and

·  if you are reviewing a product you received from us free of charge, or you received any other benefit from us in exchange for writing a review, your review must say so.

Rights you are giving us to use material you upload

When you upload or post User Content to or through our Site, including on social media using a (#), you grant us the following rights to use that content:

·  A worldwide, irrevocable, non-exclusive, perpetual, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated content, with the right to use, view, copy, distribute, license, transfer, communicate, publicly display, transmit, stream, broadcast, access, or otherwise exploit such User Content on, through or by means of the Site, our social media platforms or our marketing and promotional materials (whether in print or any other medium).

·  neither the User Content nor the posting, uploading, publication, submission or transmission of the User Content or our use of the User Content on, through or by means of our Site (including on social media) will infringe a third party’s rights (including intellectual property rights, or rights of publicity or privacy) or breach any applicable law or regulation.

User-generated content is not approved by us

Our Site may include information and materials uploaded by other users. This information and these materials have not been verified, endorsed or approved by us, and we are not responsible for any User Content. The views expressed by other users on our Site do not represent our views or values.

AI use notice

Disputes

Alternative dispute resolution is a process where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court. If you are not happy with how we have handled any complaint you have made to us, you may want to contact the alternative dispute resolution provider we use. You can submit a complaint to The Centre for Effective Dispute Resolution via their website at https://www.cedr.com/. The Centre for Effective Dispute Resolution will not charge you for making a complaint and if you are not satisfied with the outcome, you can still bring legal proceedings.

Which country's laws apply to any disputes?

If you are a consumer, please note that these Terms of Use, their subject matter and their formation, are governed by English law. If you are a consumer residing in  Ireland, please note that these Terms of Use, their subject matter and their formation are governed by Irish law. Wherever you live, you can bring legal claims against us in the English courts. If you live in Wales, Scotland, Northern Ireland, or Ireland, you can also bring claims against us in the courts of the country you live in. We can claim against you in the courts of the country you live in.

If you are a business, these Terms of Use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

Enforceability

If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision.
